Our team has vast experience in this sector and has local expertise on all matters and practical nuances related to the mining and energy sector including local content requirements. We advise on complex legal, commercial and structuring matters in these sectors including on public procurement requirements, government support/guarantees, restrictions on repatriation and local tax requirements, local content requirements in respect of banking and other professional services required, infrastructure ownership and sovereign wealth ownership and how it affects entities in this sector including the permissibility of international arbitration in public/private agreements for mining entities and power generation companies. We have worked with and are working with small and large scale mining companies and power generation companies which use renewables and non-renewable energy sources in terms of their complete requirements in Tanzania and which include setting up, to structuring and financing, reviewing and negotiating all agreements related to the entities with private and public entities and assisting with anti-trust and other regulatory approvals and consents, environmental requirements and regulations including setting up meetings with government bodies and regulators as well as assisting with arbitration and other dispute resolution mechanisms.

The team also undertake due diligence for mining and power companies for investment and/or divestment into these sectors, including reviewing and negotiating mining development and power purchase agreements, implementation agreements, performance guarantees, joint venture agreements, gas and other energy supply/offtake agreements, master lease and access to land contracts for concessions, assets,  infrastructure and pipelines and compulsory acquisitions of land reports and calculations of compensation. We also have expertise in advising on all matters relating to local mining and power/energy legislation, including compliance and free carry interests, mining title, local community development agreements/arrangements, mine taxation and royalties, smelting and mineral trading agreements and site decommissioning.
